PAN & TAN Number

Every Company Registered in India should acquire certain basic identification from Government of India in order to start its business operations in India.

The incorporated Company will not be able to initiate the business unless it has the acquired PAN number.

The Company also needs a TAN registration number for the sole purpose of TDS (tax deducted at source) processing which is mandatory.

PROCEDURE AND DOCUMENTS TO ACQUIRE PAN NUMBER FOR A COMPANY INCOPORATED IN INDIA

  • Acquire Certificate of Incorporation from ROC and attach the same with PAN application form.
  • Fill the Form 49A provided by Government of India and pay a nominal fee of Rs. 107/- through various payment modes.
  • The Department will verify the details and issue the PAN card within 10-12 days

PROCEDURE AND DOCUMENTS TO ACQUIRE PAN NUMBER FOR A COMPANY NOT INCOPORATED IN INDIA OR A COMPANY INCORPORATED OUTSIDE INDIA

The Foreign Company incorporated outside India can apply for PAN number to get the benefit of Lower TDS rate of Deduction.

  • A copy of the English translated version of the Certificate of Incorporation of the Foreign Company duly attested by the Indian embassy, High Commission, Consulate in the Country where the applicant or the authorized officials are located.
  • Fill the Form 49AA provided by Government of India and pay a nominal fee of Rs. 1,017/- through a Demand Draft in favor of “NSDL- PAN”.
  • The Department will verify the details and issue the PAN card within 10-12 days.

PROCEDURE AND DOCUMENTS TO ACQUIRE TAN NUMBER FOR A COMPANY INCOPORATED IN INDIA

  • Acquire Certificate of Incorporation from ROC and attach the same with TAN application form.
  • Fill the Form 49B provided by Government of India and pay a nominal fee of Rs. 62/- through various payment modes.
  • The Department will verify the details and issue the TAN number within 10-12 days

Professional Tax

Professional Tax is the tax charged by the state governments in India. Any one earning an income from salary or any one practicing a profession such as chartered accountant, lawyer, doctor etc are required to pay this professional tax. The Company incorporated in India is required to acquire two different Professional Tax numbers viz.

  • PTEC- Professional Tax Enrollment Certificate
  • PTRC- Professional Tax Registration Certificate

RATE STRUCTURE OF PROFESSIONAL TAX IN INDIA

  • The rate of Professional Tax for PTEC is Rs.2500/- per annum before 30th June every year for the company incorporated.
  • The rate of Professional Tax for PTRC is as deducted from the remuneration paid to the employees of the company incorporated.
    The periodicity will depend on the tax collected by the company.

Trademark Registration

The Trade Marks Registry was established in India in 1940 and presently it administers the Trade Marks Act, 1999 and the rules made thereunder. It acts as a resource and information Centre and is a facilitator in matters relating to trademarks in the country.

The main function of the Registry is to register trademarks which qualify for registration as per provisions of the Trade Marks Act and Rules, and to maintain the Register of trademarks.

Very briefly, an application for registration of trademarks is received at the Head office or a branch office of the Trade Marks Registry within whose territorial limits the Principal place of the business of the applicant is situated. The digitization and formality checking of the application is done at the respective offices.

The Application is then examined mainly as to whether the relevant mark is capable of distinguishing applicant’s good or services, whether it is prohibited for registration under any law for the time being in force, whether the registration of the relevant mark is likely to cause confusion or deception because of earlier identical or similar marks existing on records. The Examination of all applications is done centrally in the Head Office of the TRADE MARKS Registry at Mumbai.

The Registrar on consideration of the application and any evidence of use or distinctiveness decides whether the application should be accepted for registration or not, and if accepted, publishes the same in the Trade Marks Journal, an official gazette of the Trade Marks Registry, which is hosted weekly on official website.

Within four months from the date of publication any person can file an opposition in such cases the opposition proceeding is conducted at respective office of the Trade Marks Registry.

Under opposition proceeding, a copy of the notice of opposition is served to the applicant who is required to file a counter-statement within two months failing which the application is treated as abandoned. The copy of the a counter-statement is served to the opponent, who leads evidence in support of his case by way of affidavit, then the applicant leads evidence. After that the opponent files evidence by way of rebuttal. On completion of evidence, the matter is set down for a hearing and the case is decided by a Hearing officer.

The registrar’s decision is appealable to the Intellectual Property Appellate Board.

Shop Establishment

What is an Establishment?

Includes a shop, commercial establishment, residential hotel, restaurant, eating house, theater, or other place of public amusement or entertainment to which this Act applies and includes such other establishment as the State Government may, by notification in the Official Gazette, declare to be an establishment for the purposes of this Act.

What is a Shop?

Shop means any premises:

  • where goods are sold, either by retail, wholesale, or
  • Where services are rendered to customers.
  • It includes an office a store-room, godown, warehouse or work place, whether in the same premises or otherwise, used in connection with such trade/ businessA shop does not include a factory, a commercial establishment, residential hotel, restaurant, eating house, theater or other place of public amusement or entertainment;
  • Registration of Shops & Establishments: As a business owner of a shop or establishment, you are compulsorily required to get the same registered under the Shops and Establishment Act. Here are the specific rules:
  • Submit an application in the prescribed form to the Inspector of the area within 30 days of starting any work in your shop/establishment. The application is to be submitted along with the prescribed fees and should contain the following information:
    1. Your name as the employer and the name of a manager, if any;
    2. The postal address of your establishment;
    3. The name of your establishment;
    4. Such other particulars as may be prescribed.
  • Upon receiving the application for registration and the fees, the Inspector shall verify the accuracy and correctness of the application. Once suitably satisfied, he shall enter the details in the Register of Establishments and issue a registration certificate of your establishment to you. This certificate will be valid for 5 years and has to be renewed thereafter.
  • Remember, the registration certificate has to be prominently displayed at your establishment.

Communication of Change to the Inspector: In case of any change in respect of any information given during the application for registration, the same has to be notified to the Inspector’s office within 15 days after the change has taken place.

Once again the Inspector will verify the correctness of the details furnished, make the related change in the Register of Establishments, amend the registration certificate or issue a fresh registration certificate, as he may deem fit.

Closing of Establishment to be Communicated to Inspector: In case you are planning to close down your establishment, within 15 days of closing the establishment, notify to the Inspector in writing the date of such closure and return the registration certificate. After due verification, the Inspector shall remove the name of your establishment from the Register of Establishments and cancel your registration certificate.

Importer Exporter Code (IEC) Number is a unique 10 digit code required by the traders or manufacturers for the purpose of import and export in India.
